Frequently Asked Question
These Terms and Conditions (“Terms”) govern your use of the Ayala Corporation Corporate Secretarial Services Unit (“CSSU”) Request Management System (this “CSSU Portal”) and the services provided by CSSU through the CSSU Portal.
Please also read the CSSU Portal Privacy Notice before registering to and using the CSSU Portal.
Under these Terms, the terms “Ayala Corporation”, “CSSU”, “we”, “us”, and “our” refer to Ayala Corporation including its directors, officers, employees, representatives, partners, service providers, affiliates, successors, and assigns. “User”, “you”, and “your” refer to the individual who uses the CSSU Portal, registers for, and avails of services rendered by CSSU through the CSSU Portal.
1. Acceptance of Terms
By accessing or using this CSSU Portal, you agree to comply with and be bound by these Terms and confirm that you have read and understood the CSSU Portal’s Privacy Notice, as and when amended.
If you do not agree with any part of these terms, you must refrain from using, accessing, or submitting any type of request through the CSSU Portal.
These Terms shall take effect upon your registration and activation as user and shall remain valid until terminated by you, the corporation/company you represent, or CSSU. However, certain provisions shall survive the termination, as required by Law, regulation, or the nature of their operation.
2. Purpose of the CSSU Portal
The Portal allows users to submit requests, including, but not limited to requests for Secretary’s Certificates, Directors’ Certificates, and copies or certified true copies of corporate documents, among other (“each a Request” or “Requests”) . All submitted Requests will be processed according to the guidelines and procedures set by CSSU.
3. User Obligations
- Eligibility: You must be an employee or consultant of Ayala Corporation or any of its subsidiaries, associations, or joint ventures, in order to use the CSSU Portal. By submitting Requests through the CSSU Portal, you confirm that you meet this eligibility requirement.
- Accurate Information: You agree to provide accurate and complete information when submitting Requests. You are responsible for ensuring that all details in your Requests are correct and up to date.
- Request Content: You must ensure that all Requests you submit through the CSSU Portal are lawful and do not violate any applicable laws or the rights of third parties, including the internal policies of the corporation or company that you represent.
- Prohibited Uses: You must not use the CSSU Portal to submit fraudulent or malicious Requests. You agree not to upload or transmit any harmful materials, including but not limited to computer viruses or other malicious software, to the CSSU Portal.
4. Request Processing
- Submission: By submitting a request through the CSSU Portal, you consent to the processing guidelines set by the CSSU. CSSU may contact you for further clarification or information if necessary.
- Response Time: CSSU will make reasonable efforts to process and respond to your Requests within a specified time frame, but response times may vary depending on the volume and complexity of the Requests.
- No Guarantee of Service: While CSSU will make every effort to fulfill your Requests, CSSU does not guarantee that every Request will be approved or completed by the preferred deliver or accomplishment date to be indicated by the user. CSSU reserves the right to decline requests that do not meet our criteria.
5. Account Creation
To submit a request, you may be required to create an account in the CSSU Portal. When creating an account, you agree to:
- Provide accurate and complete information;
- Maintain and safekeep the confidentiality of your login credentials;
- Notify us immediately if you suspect any unauthorized use of your user account; and
- Authorize CSSU to collect, process, share, and protect your personal information in accordance with the terms in the CSSU Portal Privacy Notice.
6. Privacy and Data Collection
CSSU is committed to safeguarding the confidentiality of your personal data as defined under Republic Act No. 10173, otherwise known as the Data Privacy Act of 2012 (“Data Privacy Act”), its corresponding Implementing Rules and Procedures (“IRR”), and the existing Memorandum Circulars and Advisories issued by the National Privacy Commission (collectively, the “Data Privacy Act”). Any personal information you provide through the CSSU Portal will be used in accordance with our Data Privacy Policy (the “Privacy Policy”). By using the CSSU Portal, you consent to our collection, use, and sharing of your information as outlined in the Privacy Notice.
7. Intellectual Property
All content and materials available on the CSSU Portal, including logos, graphics, text, and trademarks, are Ayala Corporation’s property. You must not copy, distribute, or modify any content from the CSSU Portal without express written permission by Ayala Corporation.
8. Limitation of Liability
The CSSU Portal and its content are provided “as is.” CSSU is not liable for any damage arising from your use of the CSSU Portal, including but not limited to errors, interruptions, or issues related to your Requests. You acknowledge and accept that your use of the CSSU Portal is undertaken voluntarily and with full awareness of any potential risks.
9. Suspension and Termination of Use
CSSU reserves the right to suspend or terminate your access to the CSSU Portal as it determines to be appropriate at its sole discretion, including but not limited to violations of these Terms, fraud, gross negligence, willful misconduct, or other harmful actions.
10. Non-waiver of Rights
Failure or delay on the part of Ayala Corporation, CSSU, or any user to exercise its rights or remedies under these Terms and applicable laws shall not operate as a waiver of the same.
11. Modifications to the Terms
CSSU may update these Terms and Conditions at any time. The updated terms will take effect immediately upon posting. Your continued use of the CSSU Portal after such changes constitutes your acceptance of the new terms.
12. Governing Law and Venue of Litigation
These Terms are governed and construed in accordance with the laws of the Republic of the Philippines, and any disputes, suits, or legal action in connection with these Terms will be exclusively resolved through the competent courts of Makati City, Philippines, at the exclusion of all other venues.
13. Contact Us
For the efficient handling of your concerns, you shall direct all communications exclusively via email through corporatesecretarialservices@ayala.com or by sending a request to resolve an issue though a “Report a Problem” request in the CSSU Portal. You shall not raise concerns or complaints through other mediums or platforms that are not authorized to, or cannot resolve your concerns.
